Description
IMS Software Services Ltd. (USA), a company, which specializes in information technologies, decided to enter the Russian market and the CIS market through the acquisition of intangible assets of a well-known Russian company. The acquisition of assets was agreed between the companies, and the company addressed us as to the experts in the field of intellectual property and information technologies in order to verify the quality and sustainability of the acquired intangible assets, as well as to comply with the legislation of the relevant countries in the area of the transfer of the acquired rights to intellectual property rights.
Solution
Within the scope of this project aimed at the acquisition of the targeted exclusive rights to trademarks, computer programs, databases, and other subject-matters, we advised the company on all aspects related to the current state of the rights in the acquired intangible assets, as well as to the assignment of the rights to them. During our consultations, we carried out a due diligence of all the acquired trademarks and related subject-matters, computer software, databases and related subjects, and prepared a report on the results of the work, which enabled the company management to take an appropriate decision on the deal. In addition, we provided the services to verify the relevant transaction documents and prepared the necessary agreements on the transfer of the rights. Our company successfully registered all the agreements and closed the deal.
Result
As a result of the provision of our services, the company entered the Russian market and the market of the CIS countries, where it is currently engaged in distribution of its information technologies. The project lasted for more than a year.
