Description

The company General Nutrition Corporation (USA) (GNC) specializes in sales of sports nutrition and nutritional supplements. The company GNC has its own retail network in many countries around the world and holds an aggregation of the intellectual property subject matters and brands. The company GNC decided to invest in the development of its business in Russia and the CIS countries via the franchising model. For this project the company GNC applied to us as to the professionals in this field in order to comply with the relevant legislation in the area of franchising and to ensure validity of an agreement on granting a franchise.

Solution

Within the scope of this project aimed at developing a network of shops of sports nutrition and nutritional supplements in Russia and the CIS countries, we advised the company GNC on all aspects related to the provision of the franchise to the company RUSVIT. During our consultations, we also provided services for the preparation and verification of the relevant transaction documents, in particular, the agreement on the development of chain stores and franchising , as well as the services for the registration of the signed contract. In addition, we conducted the legal review of the relevant intellectual property that is the subject-matter of franchising in the scope of the transaction.

Result

As a result of the provision of our services, the company GNC successfully entered the Russian market and opened a chain of stores of the sports nutrition and nutritional supplements in Russia. Approach to the markets of the CIS countries is still under discussion. In this project, along with our firm, several large international law firms, specializing in corporate law participated. The project lasted for six months and was unique to us, by its nature and its structure.
