Description

The activities of the company Syndax Pharmaceuticals (USA) is aimed at implementing strategies for the application of epigenetic therapies targeted at solving the problem of resistance of solid tumors. The company Syndax Pharmaceuticals acquired the exclusive rights to use the patented pharmaceutical composition “entinostat”. This medicine is a high-selective inhibitor of histone deacetylase (HDAC) for the treatment of breast and lung cancer.

Within the international project the companySyndax Pharmaceuticals decided to create a joint venture with the company NovaMedika (Russia) to distribute the said pharmaceutical in Russia, Ukraine and CIS countries. In this regard, the company needed the advice related to the licensing of the patent rights in the pharmaceutical field (oncology). Specifically, for the project execution, it was needed to attract professionals within the field of licensing of the patent rights for the observance of the legislation of the relevant countries, and ensuring the legitimateness of the license, sub-license contracts and other agreements.

Solution

Our firm prepared several alternative solutions for addressing issues related to the licensing of the patent rights on the regional basis, and successfully implemented this international project by agreeing on a unique business strategy to deal with the client. It took more than a year to address all the relevant issues in the transaction and implementation of this project.

Result

During counseling the client, the services were rendered in the preparation of the relevant transaction documents, in particular, the license and sub-license agreements, as well as the registration of contracts was made in the national patent offices of different countries. In addition, the firm assisted in the introduction of the sublicensing rights to the share capital of the company-shareholder, who is a partner of Syndax Pharmaceuticals. As an operational result from this project, the company Syndax Pharmaceuticals entered the markets of Russia, Ukraine and CIS countries, and it enabled the active sale of the pharmaceutical composition «entinostat» to relevant consumers (patients) for the treatment of cancer.
